Public offer
This document is an official proposal (public offer) by ФОП Прізвище Ім’я По батькові (the “Contractor”), trading as Nova Promo, to enter into an agreement for digital marketing services on the terms below, in accordance with Articles 633, 641 and 642 of the Civil Code of Ukraine.
1. Definitions
- Client — an individual, sole proprietor or legal entity that has accepted this offer.
- Services — SEO, paid advertising setup and management, social media marketing and website development as described and priced on this website.
- Package — a set of Services with a fixed price and scope published on this website.
2. Acceptance
Payment for the selected Package or the Contractor’s invoice constitutes full and unconditional acceptance of this offer. From the moment of payment the agreement is deemed concluded and does not require a paper signature. At the Client’s request, the Contractor will sign a separate contract and acts of completed work.
3. Subject
The Contractor undertakes to provide the Services under the selected Package, and the Client undertakes to pay for them. The scope, timeline and target KPIs are set out in a brief and media plan agreed by email or messenger.
4. Prices and payment
- Prices are listed in US dollars; payment is made in the currency of the payment page at the applicable exchange rate unless otherwise agreed.
- Payment is accepted by Visa / Mastercard, Apple Pay, Google Pay or bank transfer.
- Monthly Packages are paid in advance before the start of each billing month.
- Ad spend is not included and is paid by the Client directly to ad platforms (Google, Meta, TikTok, etc.).
5. Delivery of Services
Work starts within 3 business days after payment and receipt of the access and materials required. Reports are provided at the frequency specified in the Package. Services are deemed fully delivered if the Client raises no written objections within 5 business days after the end of the billing period.
6. Rights and obligations
The Contractor shall: deliver the Services professionally and on time; keep the Client’s information confidential; provide reports on completed work; work in ad accounts registered to the Client.
The Client shall: pay on time; provide access, materials and approvals within a reasonable time; ensure that the advertised products and services are lawful.
7. Liability
The Contractor does not guarantee specific search rankings and is not liable for algorithm or policy changes, account restrictions imposed by ad platforms, or actions of third parties. The Contractor’s total liability is limited to the amount paid for the current billing period.
8. Refunds
Refunds are governed by the Refund policy, which forms an integral part of this offer.
9. Personal data
By accepting this offer, the Client consents to the processing of personal data in accordance with the Privacy policy.
10. Term and termination
The agreement remains in force until both parties have fulfilled their obligations for the paid period. Either party may end the cooperation by giving written notice at least 14 calendar days before the end of the paid period.
